Welcome to Monsta Media Rouse Hill ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website and services. By accessing or using our services, you agree to comply with and be bound by these Terms.

Services

We provide various digital marketing services including, but not limited to Social Media Ads, SEO, social media management, Website development, content creation, and Google Ads ("Services"). The scope of services and specific terms will be outlined in separate agreements.

Client Obligations

Clients agree to:

Provide accurate and complete information required for our services.

Comply with all applicable laws and regulations.

Cooperate with us in a timely and professional manner.

Fees and Payment

Our fees for the services will be outlined in the proposal or service agreement.

Payment terms and conditions, including invoicing and due dates, will be specified in the service agreement.

Late payments may incur additional charges as specified in the agreement.

Termination

Either party may terminate the agreement with written notice if the other party breaches any material term and fails to remedy the breach within a specified period.

Upon termination, the client will pay for all services rendered up to the termination date.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the services.

Intellectual Property

All intellectual property rights in the services and deliverables shall remain with the Company unless otherwise agreed in writing.

Clients retain ownership of any pre-existing intellectual property they provide to us.

The parties hereby agree as follows:

The term of this Agreement (the "Term") will begin on the date of this Agreement or the date of purchase and will remain in full force and effect indefinitely until terminated as provided in this Agreement.

In the event that either Party wishes to terminate this Agreement, that Party will be required to provide 14 days written notice to the other Party.

Client is aware that advertising spend is required by them for digital advertising. This financial obligation is to be covered by the client direct to the platform(s) advertised on at the agreed amount discussed by all parties prior to engagement.

Ad management fees are up to 3 products/services/campaign per month which requires a minimum of $30 per day ad spend each. As we help you grow there is more work required as the ad spend we manage increases. The monthly management fee is plus 5% of ad spend per month for $2001 and above. Example for a monthly ad spend of $5000, additional fee will charged for $3000 x 5% = $150 + GST in addition to the management fee. We do it this way to keep our monthly management fee as low as possible for the smaller operators. The more you spend the more attention your ads need, it is based on our performance helping you grow.

An invoice will be sent upon receiving the signed document. Payment terms for management fees are monthly, 3 months or 6 months in advance. Invoice period commences once advertisements are live on any platform and recurring invoices are based on this start date.

Ad spend % is paid in arrears based on the previous month and is based per calendar month and invoiced on the 1st of each calendar month. All accounts will be paused/stopped if invoice not paid by due date.

In the event that this Agreement is terminated by the Client prior to completion of the Services but where the Services have been partially performed, the Monsta Media Rouse Hill will be entitled to the full month's payment for that month.

For ongoing invoices where work has commenced such as ad spend % or continued services "Late Fees" will be applied to overdue invoices, 5% charged every week after invoice is overdue. Any invoices un paid with in 4 weeks from due date will be sent to debt collection at client's expense.

Confidential information (the "Confidential Information") refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.

The Monsta Media Rouse Hill agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Monsta Media Rouse Hill has obtained, except as authorised by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.

All written and oral information and material disclosed or provided by the Client to the Monsta Media Rouse Hill under this agreement is Confidential Information regardless of whether it was provided before or after the date of this agreement or how it was provided to the Contractor.

Delivery times are based on all required info being provided by the client. While we aim to deliver on time, sometimes there may be delays due to unplanned circumstances.

Social Media Ads live within 7 days, Google ads live within 14 days, SEO within 14 days, Single Page Website 7-14 days, Fast track website 14 days, CRM Build 7-14 days, Custom websites as per quote. The scope of services and specific terms will be outlined in separate agreements, which must be signed by the client and the Company before any services commence.

Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable by law, each Party agrees to indemnify and hold harmless the other Party, and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns that occur in connection with this Agreement. This indemnification will survive the termination of this Agreement.
